Coworking Terms & Conditions

Acceptance of Terms
The services Coworkrz or Indyserve Technologies LLP(herein after referred to “Coworkrz”, “Indyserve Technologies LLP”, “We” & “Us), provides to you, are subject to the following Terms and Conditions(T&C) . Coworkrz reserves the right to update the T&C at any time without prior notice to you.

*Coworkrz membership does not create a tenancy but a prepaid usage licence to use the provided amenities on a monthly or casual basis.*

Description of Services
Coworkrz may provide you with access to office space, workstations, Internet access, office equipment, conference space, knowledge resources, and other services. These services are always subject to the T&C.

No Unlawful or Prohibited Use
You warrant that you will not use the services in any shape or form for any purpose that is unlawful, prohibited or immoral or unethical in nature. You also warrant that you will not use the services in any manner that could damage, disable, overburden, or impair any Coworkrz facilities, or interfere with any other party’s usage or access to such services.

You will not attempt to gain any un-authorised access to any services, or accounts, systems or networks connected to any Coworkrz network or to any of the services, through hacking, password mining or any other means. You will not obtain or attempt to obtain any materials or information through any means not made available through the services opted by you nor should you post or download files that you know or should know are illegal or that you have no rights.
You hereby represent and warrant that you have all required legal power and authority to enter into contract and abide by the terms and conditions and no further authorisation or approval is necessary. You further represent and warrant that your participation or use of the services will not conflict with or result in any breach of any contract, license, agreement or other instrument or obligation to which you are a party.

Prohibited Uses
In addition to other prohibitions as set forth in the Terms of Service, you are prohibited from using the site or its content:

for any unlawful purpose;
to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability;
to solicit others to perform or participate in any unlawful acts;
to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances;
to collect or track the personal information of others;
to submit false or misleading information;
to spam, phish, pharm, pretext, spider, crawl, or scrape;
for any obscene or immoral purpose; or
to infringe upon or violate our intellectual property rights or the intellectual property rights of others;
to interfere with or circumvent the security features of the Service or any related website, other websites, or the Internet. We reserve the right to terminate your use of the service or any related website for violating any of the prohibited uses.
to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Service or of any related website, other websites, or the Internet;

Renewals and Terminations
This Agreement is automatically renewed at the end of each period with consent of each party.
The T&C must be adhered to at all times. Failure to follow T&C can result in non-renewal or even early termination of the usage license. Coworkrz reserves the right to terminate any or all of the services offered to you at any time without any notice, if you fail to comply with the T&C which includes non-payment or violation of the space rules. Coworkrz will refund any amounts paid for unused periods that remain after deducting any pending charges, on a pro rata basis.
Members may terminate this Agreement by giving a written notice of termination as established in this Agreement. Termination shall came in effect at the end of that calendar month. Should Member not provide timely notice of termination to Coworkrz, the Membership Period shall continue to the end of the following calendar month and the service fees for that calendar month shall be payable.

Invoicing and Payment
The member is invoiced monthly in advance based on their membership. Payment shall be made on 1st of each month in advance.

Coworkrz reserves the right to disclose any information collected
Your participation in and use of the services as Coworkrz deems necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part in Coworkrz sole discretion.

Confidentiality
You acknowledge and agree that during your participation in and use of the services, you may be exposed to confidential Information.
Confidential information may includes without limitation information about business, sales, operations, know-how, trade secrets, business affairs, any knowledge gained through examination or observation of or access to the facilities, computer systems and/or books and records of The Coworking Space, any analyses, compilations, studies or other documents prepared by Coworkrz or otherwise derived in any manner from the confidential Information that you are obliged to keep confidential or know or has reason to know should be treated as confidential.

Your participation in and/or use of the Services obligates you to :-

maintain all Confidential Information in strict confidence;
not to disclose Confidential Information to any third parties;
not to use the Confidential Information in any way directly or indirectly determined to Coworkrz or any participant or user of the Services.

All confidential information remains the sole and exclusive property of Coworkrz or the respective disclosing party.

Participation in or Use of Services
You acknowledge that you are participating in or using the services at your own free will and decision. You acknowledge that Coworkrz does not have any liability with respect to your access, participation in or use of the services, or any loss of information resulting from such participation or use.

Exclusion of Incidental, Consequential and Certain Other Damages
In no event shall Coworkrz or its subsidiaries , affiliates, divisions, and their past, present and future officers, agents, shareholders, members, representatives, employees, successors and assigns, jointly and individually be liable for any direct, special, incidental, indirect, punitive, consequential or other damages whatsoever (including, but not limited to damages for: loss of profits, loss of confidential or other information, business interruption, personal injury, loss of privacy, failure to meet any duty (including of good faith or of reasonable care, negligence, and any other pecuniary or other loss whatsoever) arising out of or in any way related to the participation in or inability to participate in or use of the services, the provision of or failure to provide services, or otherwise under or in connection with any provision of this agreement, even in the event of the fault, tort (including negligence), strict liability, breach of contract or breach of warranty of Coworkrz, and even if Coworkrz has been advised of the possibility of such damages.

Disclaimer for Warranties; Limitation of Liability
Coworkrz do not guarantee, represent or warrant that your use of our service will be uninterrupted, timely, secure or error free. We do not warrant that the results that may be obtained from the use of the service will be accurate or reliable. You expressly agree that your use of, or inability to use, the service is at your sole risk. The service and all products and services delivered to you through the service are (except as expressly stated by us) provided 'as is' and 'as available' for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non infringement. In no case shall Coworkrz , our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

Non-Disparagement
You shall, during and after the participation in and use of the Services, refrain from making any statements or comments of a defamatory or disparaging nature to any third party regarding The Coworking Space, or any of Coworkrz officers, directors, employees, personnel, agents, policies, services or products, other than to comply with law.

Indemnification
You release, and hereby agree to indemnify, defend and save harmless Coworkrz and it’s subsidiaries, affiliates, divisions, and their past, present and future officers, agents, shareholders, members, representatives, employees, successors and assigns, jointly and individually, from and against all claims, liabilities, losses, damages, costs, expenses, judgments, fines and penalties based upon or arising out of your negligent actions, errors and omissions, wilful misconduct and fraud in connection with the participation in or use of the Services. You further agree in the event that you bring a claim or lawsuit in violation of this agreement, you shall be liable for any attorney fees and costs incurred by Coworkrz or its respective officers and agents in connection with the defence of such claim or lawsuit.

Severability
In the event that any provision or portion of this T&C is determined to be invalid, illegal or unenforceable for any reason, in whole or in part, the remaining provisions of this T&C shall be unaffected thereby and shall remain in full force and effect to the fullest extent permitted by applicable law.
